Presidant Wilford Woodruff, Salt Lake City, Utah Dear Brother, In reply to your letter of Feb. 5th informing me of my apointment as a missionary to the Southern State's, will say, I feel well over the prospects. I also feel it my duty to respond to the call, and if nothing happens will report on day mentioned, or sooner if wan^te^d. President Wilford Woodruff, Salt Lake City, Utah. Dear Brother: Elder George F. Gibbs has submitted the following questions in relation to the Brigham Young College: I. Did the disincorporation of the Church invalidate the powers of the President of the Church of Jesus Christ of Latter-Day Saints, as to Brigham Young College Trustees? II. Is the College a legal entity? III. Does any liability attach to retiring members of the Board, for which as indemnity bond should be given? My answer to the first question is^,^ no. The disincorporation of the Church did not invalidate the powers of the President over the College Trustees. The deed from President Brigham Young, creating the trust, shows upon its face that the President of the Church was vested with the powers therein conferred, as President of a religious body, and it is wholly immaterial whether the Church is ^an^ incorporated body or mere- ly a voluntary association. So long as the religious organization ex- ists, the President will retain the powers conferred by the deed. II. The College is a legal entity. By this statement I mean that it has a legal existence, either as a corporation or as an asso- ciation for educational purposes, and it is wholly immaterial, so far as the question now under consideration is concerned, whether it be a corporation or an association, as an unincorporated institution is enti- tled to recognition under the law as well as a corporation. In answer to the third question, I will say that it is diffi- cult to see how there can by any liability attaching to a retiring mem-
